Capricorn Group financial activity and South African توسع

Overview

Capricorn Group reported a 6.4% decrease in annual profit after tax, totaling N$1.87 billion for the financial year ending 30 June 2026. The decline was linked to increased credit impairments, higher funding costs, and economic difficulties in Botswana. Despite lower earnings, the group saw its market capitalisation rise by approximately N$4 billion, driven by a nearly 30% increase in its share price on the Namibian Securities Exchange.

Following these financial results, disclosures to the Namibia Securities Exchange revealed that directors and the company secretary exercised vested shares worth approximately N$12.4 million through the group’s Conditional Share Plan and Share Appreciation Rights Plan.

In a strategic move to diversify revenue and expand its footprint into the South African market, Capricorn Group has secured a binding offer to acquire an initial 81.6% stake in Centrafin, a South African specialist asset financing and equipment rental firm. The transaction, involving a subsidiary of the Alviva Group, values the business at an enterprise value of R788.3 million and is subject to the finalization of audited financial results. Capricorn Group holds an option to increase its ownership to 100% over a five-year period.

Centrafin currently manages an asset finance book of approximately R3 billion. Group Chief Executive David Nuyoma stated that the acquisition represents a “meaningful step in the group’s evolution to become a more diversified and regional financial services provider.”
