Corteva seed and genetics business spinoff
Overview
Corteva, Inc. has completed the spinoff of its advanced seed and genetics business into a new, independent, publicly traded company named Vylor. Following the separation, finalized on October 1, 2026, Corteva transitioned to focusing exclusively on its crop protection operations, while Vylor assumed the seed franchise, which recorded $9.9 billion in net sales in 2025.
The spinoff has encountered immediate legal scrutiny. A bipartisan group of fifteen US states and Guam filed a lawsuit in Indiana, alleging the restructuring was intended to shield Corteva from significant potential liabilities related to PFAS ‘forever chemicals.’ The plaintiffs claim the move transferred profitable assets—which they describe as the company’s ‘crown jewels’—to Vylor while leaving environmental liabilities with Corteva. Financial records indicate that prior to the spinoff, Vylor issued $1.1 billion in bonds and drew bank lines to fund an estimated $3.5 billion cash distribution to the historical E.I. du Pont entity, which retains the legacy PFAS liabilities.
Corteva has rejected these allegations, describing them as ‘speculative and unproven’ and maintaining that the company never manufactured or sold PFAS products. Despite the legal challenges and an initial decline in stock value, Corteva’s shares later saw an increase following a rating upgrade from JPMorgan Chase & Co. Analysts noted that the new corporate structure offers an attractive valuation, citing the licensing of new molecules and operational improvements as key growth drivers.
