Deoleo acquisition bidding process
Overview
The acquisition process for Deoleo, a major olive oil brand owner, involved competing bids from several international entities. Initially, the Seville-based Migasa group formed an alliance with the Italian Coricelli family group to submit a joint bid through Farmers Elite Global. This offer was estimated to be between 510 and 530 million euros, competing against a bid from the Jaén-based cooperative Dcoop.
Ultimately, a consortium consisting of Spanish companies Acesur and Dcoop reached a binding agreement to acquire approximately 91.99% of Deoleo Holding, the parent company of global brands such as Carbonell, Bertolli, and Hojiblanca. The deal values the company at an enterprise value of approximately 520 million euros. Deoleo's board and main shareholders, CVC and Alchemy, selected this offer over the Migasa and Coricelli bid, citing superior financial backing and transaction guarantees.
The acquisition aims to integrate Deoleo's global distribution network with the production capacity of Acesur and the agricultural base of the Dcoop cooperative, which represents 75,000 farming families. The transaction is expected to conclude within six to eight months, subject to regulatory approvals in Spain and the United States, as well as foreign investment clearances in Italy. Additionally, the deal is conditional on the Japanese group Mizkan not terminating Bertolli brand licenses due to the change in control.
