Following the expiration of an extended acceptance period on 13 August, Frasers Group increased its stake in Hugo Boss to 47.89%. The group received acceptances for approximately 12.16 million shares (17.62% of share capital) during the extended window, bringing its total holdings to 33.05 million shares. While this position falls just short of the 50% threshold required for full control, Frasers Group, controlled by Mike Ashley, has become the single largest shareholder. The takeover bid, valued at roughly €2 billion, offered €38 per share. The Hugo Boss board and supervisory committee continue to maintain that the offer is “inadequate from a financial point of view” and fails to reflect the firm’s intrinsic long-term value. Frasers Group now intends to secure majority control by acquiring the remaining shares necessary to exceed the 50% threshold through direct purchases on the stock market. Because the previous offer already crossed the 30% control threshold, German takeover laws do not require a new mandatory offer for these additional acquisitions. Furthermore, Frasers has attributed an additional 29.72% of the business to itself through put options valid until 2029. As Frasers continues to increase its holding toward the 50% mark, the Hugo Boss board has suspended its share buyback program. Additionally, Frasers has indicated it is reviewing its support for Chairman Stephan Sturm, stating that if it ceases to support his position, it will make that stance public. On 14 September, Stephan Sturm announced his resignation as chairman of the supervisory board, effective 15 October. This decision follows prolonged tension regarding leadership and dividend payments. As part of The company noted that the transition, Frasers Group intends to appoint a second representative to resignation follows “constructive discussions against the supervisory board, proposing Robert Palmer to join existing member Michael Murray.
