German Uniper SE privatization process
Overview
The German government is conducting a sale process for the state-owned energy company Uniper SE, mandated by the European Commission to reduce state ownership by the end of 2028 following a 2022 bailout. The government intends to sell up to 74.12% of shares while maintaining a blocking minority of at least 25% plus one share.
In late September 2026, RWE and the private equity firm KKR submitted a non-binding offer for the company. Other entities expressing interest included the Czech energy group EPH, Norway’s Equinor, and a consortium of Brookfield Asset Management and the Canada Pension Plan Investment Board.
By early October 2026, Apollo Global Management joined the bidding process. The competitive auction could value Uniper at approximately €10 billion. Bidders are expected to be notified regarding the next round of the process in the coming weeks.
