Hapag-Lloyd pursues ZIM acquisition despite Israeli veto
Overview
Hapag-Lloyd and the Israeli investment fund FIMI attempted to restructure a $4.2 billion proposal to acquire the container shipping company ZIM. To address Israeli national security concerns regarding maritime connections during regional disruptions, the buyers proposed spinning off a portion of ZIM’s operations into a new, fully Israeli-controlled entity named ‘ZIM Israel’. This entity would manage 16 vessels to fulfill ‘golden share’ obligations and ensure the state retains control over critical supply chains.
Despite these restructuring efforts, the Israeli government issued a veto on the acquisition. The opposition is centered on Hapag-Lloyd’s ownership structure, specifically the involvement of sovereign wealth funds from Saudi Arabia and Qatar, which hold 10.2 percent and 12.1 percent stakes, respectively.
Hapag-Lloyd is continuing its pursuit of the acquisition, which is valued at approximately 3.6 billion euros. The deal aims to expand Hapag-Lloyd’s fleet to over 400 ships, increasing its total capacity to more than 3 million TEU. Hapag-Lloyd CEO Rolf Habben Jansen has stated that discussions with Israeli authorities have intensified over the last month and a half. He maintains that the acquisition represents an improvement for Israel compared to the current status quo and emphasizes that these major shareholders do not exert direct influence over the company’s daily operations.
