Monte dei Paschi di Siena (MPS) has launched a strategic counter-offensive to prevent a potential acquisition by Intesa Sanpaolo. The bank’s Board of Directors approved two simultaneous voluntary share swap offers for Banco BPM and Banca Generali, with a combined value of approximately €34 billion. The proposal aims to combine these entities with the recently integrated Mediobanca to create a major independent Italian banking group. Financial analysts and international media have reacted with skepticism. The Financial Times described the strategy as “bizarre” and “magical thinking,” citing the extreme complexity of a four-way merger and the relatively low premiums offered. S&P Global Ratings acknowledged the industrial logic but warned of high execution risks. The strategy has faced immediate resistance from Banco BPM, whose board unanimously rejected the bid, noting it provides “no premium for Banco BPM shareholders.” Crédit Agricole, holding a 29.3% stake in Banco BPM, is reportedly aligned with this rejection. In response to the defensive maneuvers, Intesa Sanpaolo has filed a complaint with Consob, alleging that MPS may be violating the “passivity rule.” To further discourage Intesa’s €30.6 billion bid, MPS has distributed €4 billion to its own shareholders. The Italian government has indicated it does not currently plan to sell its 4.8% stake in MPS. Unipol president Carlo Cimbri has proposed an alternative consolidation plan involving Unipol, Intesa Sanpaolo, and Bper, with MPS as a lead entity. Cimbri further detailed a two-stage restructuring involving a merger between MPS and Bper Banca to create Italy’s second-largest banking group. He emphasized that the headquarters would remain in Siena, noting that ‘Rocca Salimbeni is a symbol for 500 years.’ However, analysts caution that these statements are not yet binding commitments and the Intesa Sanpaolo offer still awaits various regulatory authorizations. Local leaders have expressed heightened concern over the bank’s future.
