Lottomatica and CIRSA merger agreement

Overview

Lottomatica and CIRSA have entered into a binding agreement for an all-share absorption merger. The deal, valued at approximately €2.8 billion, aims to create the world’s second-largest listed gaming and sports betting operator.

Under the terms of the transaction, CIRSA will be absorbed by the Italian firm Lottomatica, which will remain the surviving entity and maintain its headquarters in Rome. CIRSA shareholders are set to receive 0.668 Lottomatica shares for each share held. Following the merger, Lottomatica shareholders will control approximately 67.5% of the new company, while CIRSA shareholders will hold about 32.5%. Blackstone, the majority owner of CIRSA, is expected to become the largest individual shareholder with a 24% stake and the right to nominate two board members.

The combined group will hold leading market positions in Italy and Spain, with significant operations in Morocco—including stakes in Casino Tanger, Casino Atlantic, and Casino Le Mirage—and Peru.

Before the merger is finalized, CIRSA plans to distribute an extraordinary dividend of approximately €262 million. The transaction is subject to regulatory approvals and shareholder votes, with completion anticipated by the second quarter of 2027.
