Meritage Hospitality Group bankruptcy and Wendy’s dispute
Overview
Meritage Hospitality Group, a major Wendy’s franchisee based in Grand Rapids, Michigan, filed for Chapter 11 bankruptcy protection in September 2026 to restructure debt and reorganize operations. The company operates 314 restaurants across 15 states, including 54 in Michigan, and employs approximately 9,000 people.
The filing follows a move by Wendy’s to terminate Meritage’s franchise agreement, effective immediately. Wendy’s is seeking to prevent the group from conducting business under these agreements, citing claims that the franchisee owes $27.4 million in royalties and fees, in addition to $119.5 million in continuous operations fees. Specifically, the latter amount is related to the closure of 60 underperforming restaurants last year. While Meritage intends to continue restaurant operations and employee payments during the restructuring, the future of its Michigan locations remains uncertain.
The bankruptcy follows significant financial distress, including a 48% drop in store earnings in 2025. Meritage attributed these difficulties to systemic pressures within the Wendy’s brand, such as rising beef costs, increased discounting, and declining same-store sales.
This situation coincides with broader financial challenges for Wendy’s corporate entity, which has seen a decline in same-store sales and customer traffic, contributing to a decreased market capitalization of $1.25 billion. Wendy’s CEO Robert Wright is expected to announce a turnaround strategy following the company’s third-quarter results in November.
