Metaplanet shareholders have entered a dispute with the company over significant stock dilution resulting from its Bitcoin treasury strategy. In response, Metaplanet announced a restructuring of its Series 10 stock acquisition rights, reducing the potential shares from 319.46 million to 188.19 million shares by resetting the conversion ratio. CEO Simon Gerovich stated this move aims to align management incentives with shareholder interests.
However, the company’s compensation practices have faced external scrutiny. Asset manager VanEck recently rated Metaplanet in the lowest tier of digital asset treasury firms, labeling its compensation practices as “Bad.” VanEck noted that Metaplanet’s equity plan accounts for 14.7% of fully diluted shares, compared to a peer average of approximately 4%, and that officer exposure stands at 8.2% versus a peer average of 0.8%. VanEck argued that Metaplanet’s recent reduction of its option pool “falls well short of the mark,” reiterating calls for a shareholder-approved compensation plan and the reversal of the 273 million-share expansion.
