Nexperia ownership and operational dispute in China

Nexperia, a Dutch semiconductor manufacturer, is undergoing a significant structural split from its Chinese operations following diplomatic tensions and government intervention in the Netherlands. While the company reported an 18 percent revenue increase in the second quarter—driven by demand in artificial intelligence, data centers, and the automotive sector—it has excluded its Chinese subsidiaries from consolidated financial results since October of last year due to a loss of effective control.

To mitigate the loss of Chinese production capacity, Nexperia is expanding its manufacturing footprint in Southeast Asia, specifically targeting capacity increases in Malaysia and the Philippines.

In China, the situation has escalated into a legal conflict. A Chinese court has frozen more than 2.14 billion yuan ($300 million) in assets belonging to Nexperia and its equipment unit. This freeze, which is set to remain in place until August 2029, follows an asset-preservation request by Wingtech Technology and its subsidiary, Yucheng Holding. The legal action stems from an ownership dispute and a lawsuit seeking 8 billion yuan in damages, with plaintiffs alleging that Nexperia implemented “discriminatory restrictive measures” imposed by the Netherlands.
