Poste Italiane acquisition of TIM
Overview
Poste Italiane has completed the first phase of its public tender offer (OPAS) for the telecommunications group TIM, increasing its stake to 66.63%. This milestone was achieved following a significant acceleration in participation during the final days of the window, which closed on September 11, 2026. The acquisition of approximately 994 million shares, representing 46.5% of TIM’s capital, combines with Poste Italiane’s existing 20.1% holding.
By surpassing the two-thirds ownership threshold, Poste Italiane now holds the ability to approve extraordinary shareholder resolutions, such as corporate mergers and transformations. The offer structure provides participants with 1.97 euros in cash and 0.218 Poste Italiane shares per share. If fully subscribed, the total estimated cost is approximately 3.3 billion euros, to be financed through bank debt.
TIM CEO Pietro Labriola described the offer as “industrially consistent.” Poste Italiane CEO Matteo Del Fante expressed satisfaction with the market response, noting that the high participation rate reflects investor confidence in the strategic integration of postal, logistics, telecommunications, and digital infrastructure services. Giuseppe Lasco, General Manager of Poste Italiane, characterized the operation as a “historic event for Italy” intended to drive digital transition and create a group capable of competing with major international players. A second window for participation in the offer is scheduled to take place from September 21 to 25, 2026.
