Proofpoint acquisition of Varonis Systems

Overview

Proofpoint, a cybersecurity firm owned by Thoma Bravo, has entered into a definitive agreement to acquire Varonis Systems in an all-cash transaction valued at approximately $6.3 billion. Under the terms of the deal, Varonis shareholders are set to receive $49.75 per share.

The acquisition is intended to establish a unified platform for data and AI cybersecurity, specifically targeting risks associated with AI agents and securing access to sensitive enterprise information. The combined entity is projected to serve more than 16,000 enterprises.

Financing for the transaction includes equity from Thoma Bravo, investment from the Ontario Teachers’ Pension Plan, and $1.25 billion in debt financing. Proofpoint has engaged JPMorgan and UBS to lead the sale of this debt in the high-yield bond market. The deal is expected to close in the first half of 2027, pending regulatory approvals and shareholder consent, at which point Varonis will delist from the Nasdaq.
