Rocket Lab is advancing its proposed acquisition of Iridium Communications, a move intended to integrate launch and manufacturing capabilities with a global satellite network. To fund the approximately $8 billion deal, Rocket Lab completed a $1.944 billion equity offering through the issuance of 29.3 million new shares. This capital allows the company to cover cash requirements and cancel a $3.6 billion bridge loan previously arranged with Deutsche Bank and Wells Fargo. Additionally, Iridium’s creditors have approved modifications to a $1.775 billion term credit line to prevent early repayment triggers during the transition. On September 24, 2026, Iridium Communications shareholders approved the merger agreement during a special meeting. Approximately 99.6% of votes cast were in favor of the transaction, representing about 81.0% of Iridium’s outstanding shares entitled to vote. Under the terms of the deal, stockholders will receive $27.00 in cash plus Rocket Lab common stock, with an exchange ratio subject to a collar between $67.50 and $112.50 per share. Recent reports value the transaction at approximately $54.00 per Iridium share. The Federal Communications Commission (FCC) has accepted the license transfer application, with a comment period running until November 9. The acquisition is now expected to be completed by mid-2027, pending regulatory approvals and other customary closing conditions.
