Overview
The State Oil Company of the Azerbaijan Republic (SOCAR) and US-based Comstock Resources have entered into a strategic partnership valued at $1.65 billion. Under the letter of intent, SOCAR will acquire interests in Comstock’s upstream assets, including a 20% interest in the Legacy Haynesville assets and a 15% interest in the Western Haynesville assets, as well as a 15% stake in Pinnacle Gas Services LLC.
This deal marks a strategic expansion for SOCAR, allowing the company to diversify its geographic footprint beyond the Caspian Sea and into the US shale gas sector. For Comstock Resources, the transaction is intended to improve financial metrics and address free cash flow deficits. The company plans to use the proceeds to reduce its net debt from approximately $3.1 billion to $1.5 billion.
The companies aim to execute a definitive purchase and sale agreement by October 31, 2026, with the transaction expected to close by the end of the year, pending regulatory and third-party approvals. Comstock will remain the operator of the involved assets.
