TRX Real Estate fund expansion and asset restructuring
Overview
The TRX Real Estate fund (TRXF11) has initiated significant expansion and portfolio restructuring activities in Brazil. In early August 2026, the fund announced its 13th issuance of new shares, targeting up to R$10 billion. The initial tranche of 53 million shares is priced at R$94.25, aiming to raise R$5 billion to finance new acquisitions and enhance diversification. This expansion includes a non-binding memorandum of understanding with developer Cyrela to acquire properties valued at approximately R$2.14 billion, a transaction that may involve the creation of two new REITs managed by Cy.Capital.
Following these announcements, the fund engaged in further asset reallocation. TRXF11 committed to selling three properties leased to Grupo Pão de Açúcar (GPA) for approximately R$109.25 million, a move projected to yield a profit of roughly R$34.83 million. Concurrently, the fund expanded its holdings in the retail sector by acquiring stakes in five Iguatemi shopping centers through an R$876 million operation, utilizing a combination of cash and TRXF11 shares.
This restructuring marks a strategic shift from a heavy concentration in food retail toward a broader range of assets, including logistics, shopping centers, hotels, educational properties, hospitals, and corporate buildings. Recent acquisitions supporting this diversification include logistics warehouses in Guarulhos, the Hotel Emiliano in Copacabana, and IBMEC Faria Lima. Fund manager Gabriel Barbosa noted that this shift is a strategic response to previous concentration risks.
