The Capital Markets Board (SPK) of Turkey continues to implement regulatory updates focused on market transparency, reporting, and accessibility. Following previous decisions regarding IPO prioritization and capital requirements, the SPK has introduced rules allowing non-Turkish citizens to open investment and crypto asset accounts remotely. Under these regulations, brokerage firms and crypto asset service providers may verify identities using ICAO 9303 standard passports with Near Field Communication (NFC) capabilities via video calls. To mitigate risk, foreign clients are categorized as high-risk; their technical data will be scrutinized, and identity verification may involve AI-based liveness tests. Strict financial controls require clients to verify residential addresses with recent official documents, and funds must be managed via the SWIFT system through accounts held in the client’s own name. These transactions are subject to reporting to the Financial Crimes Investigation Board (MASAK). In recent developments, the SPK approved the initial public offering (IPO) of Net Global Endüstriyel Yatırımlar A.Ş., which aims to increase its capital from 250 million TL to 312.5 million TL through a total offering of approximately 2.233 billion TL. The proceeds are slated for capacity increases, solar power installations, and debt reduction. Furthermore, the SPK has introduced new regulations for companies traded on Borsa Istanbul. Effective at the end of the day on September 11, 2026, the threshold for mandatory shareholding notifications will be lowered from 5% to 3%. The SPK also redefined free float calculations to exclude shares held by partners with 10% Real and legal persons directly holding 3% or more ownership, public legal entities, buybacks, and holdings by board members, auditors, of a company's capital or senior executives. The voting rights must disclose these holdings. Additionally, the Central Securities Depository (MKK) will calculate and announce these figures daily. maintain updated tables for those holding 10% or more through indirect ownership.
