Universal Insurance regulatory and capital crisis and legal challenge

Universal Insurance Plc entered into a binding agreement with FPNG Co-Nvest Limited for a ₦7.128 billion equity injection via private placement. This transaction was intended to grant FPNG a 50.1% majority stake and enable the company to meet new minimum capital requirements established by the National Insurance Commission (NAICOM). However, NAICOM subsequently revoked the operating licence of Universal Insurance Plc due to its failure to meet the minimum capital requirements mandated by the Nigerian Insurance Industry Reform Act 2025. Following the revocation, NAICOM appointed Ogbonna Chukwumerije as the receiver and provisional liquidator to manage the winding-up process and secure assets. This regulatory action has created uncertainty regarding the previously planned recapitalisation deal. Universal Insurance has since filed a lawsuit in the Federal High Court Lagos to overturn the licence revocation and the appointment of the liquidator. The company cited a ₦15 billion recapitalisation shortfall as the reason for the regulatory breach, though it noted that unaudited financials for June 30, 2026, showed a profit after tax of ₦4.90 billion. The legal proceedings have drawn scrutiny toward five South-East Nigerian state governments—Abia, Anambra, Ebonyi, Enugu, and Imo—which hold legacy interests in the firm. The court has adjourned the matter until September 3, 2026, directing parties to avoid actions that might undermine the legal proceedings.
