Vietnam banking sector capital increases
Overview
Sumitomo Mitsui Banking Corporation (SMBC) remains in advanced negotiations to increase its ownership stake in VPBank from 15% to approximately 20%. The additional 5% stake is valued at roughly $425 million at current market prices. While both parties aim to finalize the deal this year, disagreements persist regarding valuation. VPBank is reportedly seeking a substantial premium, similar to the 2023 transaction where SMBC paid a 40% premium over market value. SMBC is considering whether to proceed via a private placement or by purchasing shares on the open market.
Market activity has intensified following these reports. Between September 8 and September 28, proprietary trading desks significantly increased their holdings of VPBank (VPB) shares, purchasing over 1,900 billion VND worth of stock. This accumulation coincided with a roughly 20% rise in the stock price since late July. This follows a plan approved by VPBank to issue over 624 million shares privately to a foreign investor, which could raise between $700 million and $900 million (or approximately 14,300 billion VND based on recent market prices).
PGBank is also executing a capital bolster through a two-stage share offering. The first phase involves offering 150 million shares to existing shareholders at 10,000 VND per share by October 7, 2026. If successful, this initiative aims to increase the bank’s charter capital from over 7,327 billion VND to nearly 10,000 billion VND to support business expansion.
In a separate development, VietinBank is attempting a fifth divestment of its 19.3 million shares in Saigon Port (SGP). Previous attempts to sell this stake since March 2026 have largely failed due to unfavorable market conditions, with only minimal shares successfully transferred in prior rounds.
