Following a period of stock volatility, the company announced plans for a $270 million offering of 5.00% convertible senior notes due 2032, alongside strategic acquisitions including two data-center sites in North Carolina and an exclusive operator role for a planned 100-megawatt GPU data-center buildout in Krambu.
The company subsequently closed an upsized $310 million private placement of these convertible senior notes after purchasers exercised an option. From the net proceeds, WhiteFiber used approximately $118.5 million to exchange a portion of its existing 4.50% convertible senior notes due 2031, reducing that principal to roughly $31.85 million. The remaining $180 million is designated for data center expansion, including property development, energy service agreements, and the purchase of GPU servers. CEO Sam Tabar noted that the transaction provides “greater capital certainty” as the company progresses with its NC-1 project.
