Applied Materials to increase stake in BE Semiconductor to 20%

Applied Materials has announced plans to increase its stake in BE Semiconductor Industries (Besi) from 9% to approximately 20%. The move is intended to deepen a strategic partnership focused on advanced chip packaging and AI-related semiconductors, specifically targeting technologies such as hybrid bonding and three-dimensional integrated circuits.

The acquisition will be executed through an accelerated share purchase agreement. However, the transaction remains subject to regulatory conditions, specifically the expiration or termination of the waiting period under the US Hart-Scott-Rodino Act. Until these regulatory requirements are met, the increased ownership is not yet officially finalized.

Applied Materials has been a partner with Besi since 2020 and became its largest shareholder following an initial investment in April 2025. While the company is expanding its financial interest, it has indicated that it does not currently seek further ownership increases or a seat on the board of directors.
