Azzas 2154 to split into Arezzo&Co and Soma
Azzas 2154 has announced a corporate reorganization to split its operations into two independent publicly traded companies: Arezzo&Co and Soma. This move marks a return to the original structures of the two entities following two years of integration.
Arezzo&Co will focus primarily on footwear and handbags, managing brands such as Arezzo, Schutz, Anacapri, Vans, Alexandre Birman, and Carol Bassi, as well as Hering. Soma will consolidate apparel brands, including Animale, NV, Maria Filó, Cris Barros, Reserva, Oficina, and Foxton.
A third corporate structure will be created specifically for Farm Rio, with Arezzo&Co holding a 57.4% stake and Soma holding 42.6%.
The decision follows reported management conflicts and power disputes between leaders Alexandre Birman and Roberto Jatahy. Shareholders of Azzas 2154 will receive shares in both new companies in proportion to their current holdings, ensuring their relative participation remains preserved.
