Overview
Azzas 2154 has announced a corporate reorganization to dismantle the integration of Arezzo&Co and Grupo Soma that occurred in 2024. The restructuring will split operations into two independent publicly traded companies: Arezzo&Co, which will focus on footwear and handbags, and Soma, which will consolidate apparel brands.
The decision follows reported management conflicts and power disputes between leaders Alexandre Birman and Roberto Jatahy. Under the new arrangement, Birman will oversee Arezzo&Co operations while Jatahy will lead the women’s fashion brands from the former Soma group. Shareholders will receive shares in both new entities in proportion to their current holdings.
A third structure will be created for the Farm brand, with Arezzo&Co holding a 57.4% stake and Soma holding 42.6%. Morgan Stanley is conducting a strategic evaluation of Farm, which is valued between R$ 4.4 billion and R$ 5.5 billion, as the company prepares to receive proposals for a potential sale of the brand in the coming months.
