Brazil implements new dividend taxation affecting family holdings
New fiscal regulations in Brazil, specifically Law 15.270 which took effect in January 2026, have ended the tax exemption on dividend distributions that had been in place since 1995. The law introduces a 10% withholding tax on monthly payments exceeding 50,000 reais made by a company to an individual partner.
This change significantly impacts family holdings and business groups that previously relied on low pro-labore salaries and tax-free profit distributions to fund family lifestyles. Because the monthly limit is applied per paying company, business groups with multiple operational entities face varying tax implications for each source of distribution.
Legal experts suggest that the timing of distributions has become as critical as the amount distributed. To manage the impact, families are advised to review social contracts, shareholder agreements, and distribution policies. Decisions regarding how much profit remains capitalized in the holding, how much remunerates administration, and how much is distributed to partners must be formally stipulated in bylaws and approved in assemblies to align with family cash flow.
