Brazil Law 15.270/2025 changes profit distribution taxation
Brazil's Law 15.270/2025 has introduced new taxation rules for profit distributions, specifically impacting holding companies and high-income individuals. The law establishes a 10% tax retention trigger when a single payer distributes more than R$ 50,000 in dividends to a natural person within a single month.
For high-income taxpayers with annual earnings exceeding R$ 600,000, the legislation introduces a minimum tax requirement. This measure is estimated by the Senate to affect approximately 140,000 taxpayers. While the first assessments will occur during the 2027 income tax filings, the calculations will be based on income received throughout 2026.
Legal experts suggest that companies and partners must review their distribution and registration methods by December 31 to mitigate tax risks. Strategies for optimization within legal boundaries include the temporal fractionation of distributions to keep monthly amounts below the R$ 50,000 threshold, and retaining profits within holding structures for reinvestment rather than immediate distribution to individuals.
