Paramount-Warner Bros. Discovery merger faces antitrust lawsuit and job loss warnings

The proposed merger between Paramount and Warner Bros. Discovery has triggered significant legal and economic tension in California. A group of 12 state attorneys general, led by California Attorney General Rob Bonta, has filed an antitrust lawsuit to block the deal, alleging it would reduce competition in film and television distribution. A trial is currently scheduled for March 2027.

Los Angeles Mayor Karen Bass has urged both Paramount and the Attorney General to reach an urgent settlement to mitigate industry instability. Bass emphasized that the legal uncertainty is causing productions to stall and threatening the livelihoods of union workers. Economic analyses from CVL Economics and the Los Angeles County Department of Economic Opportunity suggest the merger could result in the loss of approximately 4,500 film and television jobs in Los Angeles County and impact billions of dollars in regional economic activity.

In response to the legal pressure, Paramount CEO David Ellison has suggested the company might relocate operations to states like Texas, Georgia, or Tennessee if the merger is blocked. Meanwhile, the Writers Guild of America has criticized calls for a settlement, arguing that the merger is illegal and will lead to widespread job losses. Attorney General Bonta has stated that any settlement would require ‘robust structural remedies’ to address anticompetitive risks.
