Paramount‑Warner merger faces antitrust, relocation suits
Overview
The U.S. Justice Department cleared Paramount Global’s $110‑111 billion acquisition of Warner Bros. Discovery in early July 2026. Within a day, a coalition of twelve Democratic‑led state attorneys general, led by California AG Rob Bonta, filed a federal antitrust lawsuit alleging the deal would give the combined company control of roughly 27‑30 % of wide‑release theatrical distribution, blockbuster licensing and basic‑cable programming, violate the Clayton Act, raise prices and diminish competition.
The Writers Guild of America (East and West) has also sued, arguing the merger would make the firm the largest employer of screenwriters, depress wages and reduce narrative diversity. Paramount + subscribers have joined the litigation, seeking an injunction to stop the merger.
On July 15, Paramount Skydance asked that the state antitrust case be treated as related to the subscriber lawsuit. The filing notes Warner Bros. Discovery is also a defendant and requests that the court consider a possible closing as early as July 22, 2026. Judge Araceli Martinez‑Olguín will oversee the combined actions.
Separately, Paramount shareholders lodged a Delaware Chancery Court complaint accusing CEO David Ellison and Larry Ellison of illegal side‑deals with former President Donald Trump, including promises of a CNN overhaul, free advertising and a $16 million payment, alleging breaches of fiduciary duty.
Paramount warns the litigation could push it to relocate its headquarters out of California, with Tennessee courting the move. The merger carries a “ticking fee” of $0.25 per Warner share per quarter after Oct. 1, amounting to hundreds of millions of dollars, previously estimated at $650 million quarterly. EU and UK regulators continue their review.
