Fairfax Financial to acquire 60.72% stake in IDBI Bank for Rs 52,878 crore

The Indian Union Cabinet has approved the strategic restructuring of IDBI Bank, authorizing the sale of a 60.72% controlling stake to Canada-based Fairfax Financial Holdings for Rs 52,878 crore. This transaction, which is expected to be completed by March 2027, represents the largest foreign direct investment (FDI) in the history of India's financial sector and the country's largest strategic disinvestment since the sale of Air India.

The sale involves the divestment of a 30.48% stake held by the Government of India and a 30.24% stake held by the Life Insurance Corporation of India (LIC). Following the deal, the government will retain a 15% minority stake, while LIC will hold approximately 19%. Fairfax, led by billionaire Prem Watsa, will acquire the shares at a price of Rs 81 per share.

Under the terms of the agreement, Fairfax must retain the IDBI Bank brand name for three years and keep its capital investment locked in for five years. Additionally, Fairfax must decide within two years whether to merge its existing 40% stake in CSB Bank with IDBI Bank or reduce its holding in CSB Bank. The restructuring aims to infuse private capital and new management practices to strengthen the banking ecosystem and drive growth.
