Fairfax Financial acquisition of IDBI Bank stake
Overview
The Indian Union Cabinet has approved the sale of a 60.72% controlling stake in IDBI Bank to a subsidiary of Canada-based Fairfax Financial Holdings for approximately Rs 52,878 crore. This transaction, expected to conclude by March 2027, represents India’s largest strategic disinvestment since the sale of Air India and a record foreign direct investment in the financial sector. The deal involves divesting a 30.48% stake held by the Government of India and a 30.24% stake held by the Life Insurance Corporation of India (LIC). Following the sale, the government will retain a 15% minority stake, while LIC will hold approximately 19%.
Under the agreement, Fairfax must retain the IDBI Bank brand for three years and maintain its capital investment for five years. Additionally, Fairfax must decide within two years whether to merge its 40% stake in CSB Bank with IDBI Bank or reduce its holding in the latter.
The sale has faced significant political and organizational opposition. The Communist Party of India (Marxist) has formally opposed the move, alleging it violates Reserve Bank of India guidelines regarding foreign voting rights and that the bank’s valuation was lowered to benefit Fairfax. Meanwhile, Finance Minister Nirmala Sitharaman defended the reforms against criticism from Samajwadi Party leader Akhilesh Yadav, accusing the previous UPA government of leaving banks in a precarious state through “crony capitalism.”
To address concerns from the United Forum of IDBI Officers and Employees (UFIOE) regarding service conditions and pensions, Arunish Chawla, Secretary of DIPAM, stated that employee terms cannot be modified or diminished under the share purchase agreement and that a special pension fund has been established to honor all commitments.
