Fermo City Council approves Solgas merger into Astea Energia
The Fermo City Council has approved the merger of Solgas into Astea Energia. This corporate restructuring marks a significant shift for the municipality, which currently holds a 51% controlling stake in Solgas. Following the merger, the municipality will transition to a minority shareholder, holding approximately 5% of Astea Energia.
The move represents a transition from direct management control of a local company to a minority position in a larger industrial entity controlled by the SGR group. While the merger aims to leverage greater industrial capacity and future financial flows, it involves a reduction in immediate exit rights. Specifically, the Put Option value for the municipality is projected to decrease from approximately 5.32 million euros to 2.28 million euros, a nominal reduction of about 57%.
The roots of this consolidation trace back over a decade. SGR began entering municipal companies as an industrial partner in 2014 and 2016, acquiring 49% stakes in San Giorgio Energie and Solgas, respectively. Since then, SGR has expanded its control over Astea Energia, eventually leading to the current integration of these municipal holdings into its larger corporate structure.
