Fermo municipal Solgas merger into Astea Energia

Overview

The Fermo City Council has approved the merger of Solgas into Astea Energia, a move that transitions the municipality from a 51% controlling stake in Solgas to a minority position of approximately 5% in Astea Energia. The Gruppo Società Gas Rimini will hold approximately 89.6% of the capital, effectively shifting control to a private partner.

While the restructuring is intended to leverage greater industrial capacity and future financial flows, it results in a significant reduction in the municipality’s immediate exit rights. The Put Option value for the municipality is projected to decrease by approximately 57%, falling from roughly 5.32 million euros to 2.28 million euros. Administrators have justified the merger as a necessary step to remain competitive in the energy market, noting that the deal includes a partial distribution of Solgas 2025 profits and limited-period dividend guarantees.

The decision has met with opposition. Councilor Andrea Morroni is evaluating a legal appeal to the Regional Administrative Court (TAR) to potentially suspend the deliberation. Morroni is investigating whether the council was provided sufficient time and documentation to evaluate the complex merger, noting that documents were reportedly delivered only six days before the vote. This consolidation follows a decade-long process in which SGR entered municipal companies as an industrial partner, beginning with stakes in San Giorgio Energie and Solgas in 2014 and 2016.
