Germany sets conditions for potential Commerzbank takeover

The German government has established three primary conditions for a potential takeover of Commerzbank by the Italian banking group UniCredit. Following discussions between German Finance Minister Lars Klingbeil and UniCredit CEO Andrea Orcel, Berlin has specified that Commerzbank must maintain its headquarters in Frankfurt, remain a publicly traded company, and continue its robust financing of small and medium-sized enterprises both domestically and internationally.

UniCredit has steadily increased its stake in Commerzbank, currently holding approximately 47.6 percent of the shares. The German state remains the second-largest shareholder with just over 12 percent. While the recent talks between Klingbeil and Orcel were described as constructive, significant hurdles remain regarding management structures and potential job losses.

Commerzbank CEO Bettina Orlopp emphasized that any successful transaction depends on an agreement between Berlin and Milan. She noted that while the bank is pursuing its own capital plans—including a target net profit of at least 3.4 billion euros and total distributions of around 3.2 billion euros—the future of the institution requires coordination between the dominant major shareholders.
