In mid-September 2026, negotiations intensified as UniCredit’s access to voting rights reached 49.65 percent through derivatives. Following a meeting in Berlin between Finance Minister Lars Klingbeil and UniCredit CEO Andrea Orcel, the German government reaffirmed its requirements. Berlin intends to retain its approximately 12 to 13.3 percent stake and seeks to continue appointing two representatives to the supervisory board. Key conditions include ensuring Commerzbank remains a listed company headquartered in Frankfurt, maintaining its focus on the ‘Mittelstand,’ and protecting the interests of its 40,000 employees by preventing forced redundancies.
Commerzbank CEO Bettina Orlopp has stated that any successful transaction depends on an agreement between Berlin and Milan. She noted that while the bank is pursuing its own capital plans—including a target net profit of at least 3.4 billion euros—the institution's future requires coordination between major shareholders.
