Commerzbank takeover: Germany sets conditions for UniCredit acquisition

German Finance Minister Lars Klingbeil has outlined specific conditions for a potential takeover of Commerzbank by the Italian banking group UniCredit. Following a meeting in Berlin with UniCredit CEO Andrea Orcel, Klingbeil emphasized that the German government expects Commerzbank to remain a listed company headquartered in Frankfurt and to maintain its focus on supporting the German 'Mittelstand' (small and medium-sized enterprises) both domestically and internationally.

The German government, which holds approximately 12 to 13.3 percent of Commerzbank shares, intends to retain its stake even if an acquisition proceeds. Berlin is also seeking to ensure that it continues to appoint two representatives to the bank’s supervisory board and is advocating for the interests of Commerzbank’s more than 40,000 employees.

UniCredit, which has secured access to nearly 50 percent of Commerzbank’s voting rights, views the acquisition as a way to achieve billions in savings, potentially through job cuts and a reduction of Commerzbank’s international network. While Orcel described the initial discussions as constructive, concerns remain in Frankfurt regarding the bank's future independence and its potential merger with HVB.
