AKTOR Group to raise up to €1 billion via €650 m capital increase and €300 m bond, funding €3 billion investment plan

The AKTOR Group announced a €3 billion investment programme for 2026‑2031 covering concessions, renewable energy, LNG and construction. Funding will come from a €650 million capital increase (AMK) and a €300 million bond, giving the group the capacity to raise up to €1 billion of new capital. The capital increase is fully underwritten by Bank of America, Goldman Sachs and UBS, and the bond is underwritten by UBS Europe. Main shareholders WINEX Investments and Castellano have pledged up to €300 million of the AMK. Roadshows are planned in London and the United States to attract long‑term foreign investors.

The plan allocates roughly 40 % of the €3 billion to concession and PPP projects, another 40 % to energy activities, 10 % to construction and 10 % to LNG trading and an FSRU. The group intends to acquire battery‑storage assets in Bulgaria, expand LNG trading, explore retail electricity sales and deepen its concession presence in Romania. No financing gap is expected; new debt will be limited to a leverage ratio of no more than four times EBITDA. AKTOR targets EBITDA of €600‑€700 million by 2031, up from €400 million, with a shift toward recurring, contract‑based revenues.

The financing move is described as the largest capital‑raising effort in the company's history and is expected to make AKTOR the most capitalised infrastructure group in Southeast Europe, enhancing its financial flexibility and international market positioning.
