Fairfax Financial Holdings to acquire 60.72% stake in IDBI Bank

The Indian Union Cabinet has approved the sale of a 60.72 percent controlling stake in IDBI Bank to a subsidiary of Canada-based Fairfax Financial Holdings. The transaction, valued at approximately ₹52,878 crore (roughly US$5.6 billion), involves the government divesting its 30.48 percent stake and the Life Insurance Corporation of India (LIC) divesting 30.24 percent.

Fairfax, led by Prem Watsa, will acquire the shares at a price of INR 81 per share. The company intends to integrate its existing Indian financial holdings, such as Go Digit’s insurance operations and IIFL Capital, into the bank to create a comprehensive financial services institution.

Department of Investment and Public Asset Management (DIPAM) Secretary Arunish Chawla stated that the strategic sale is expected to close by the end of the current financial year, pending regulatory clearance from the Reserve Bank of India. Chawla also assured that the service conditions and pension benefits for existing IDBI Bank employees and pensioners will remain unchanged under the share purchase agreement.

Following the divestment, the market regulator has directed LIC to reduce its remaining stake from 19 percent to 15 percent to increase the public float.
