Inditex names former Caixabank chief José Ignacio Goirigolzarri as independent board member
At its ordinary shareholders’ meeting on 7 July in Arteixo, Inditex approved the appointment of José Ignacio Goirigolzarri, former president of Caixabank and ex‑CEO of BBVA, as a new independent director, replacing Rodrigo Echenique. The meeting also re‑elected Oscar García Maceiras as executive director and Marta Ortega Pérez and Flora Pérez as non‑executive directors, along with independents Denise Patricia Kingsmill, Pilar López and Belén Romana.
Shareholders endorsed a revised remuneration policy for the 2027‑2029 period. The plan would raise the fixed salary of CEO García Maceiras from €2.5 million to €2.95 million and increase his total potential compensation to about €9.2 million – a rise of up to 26 % if performance targets are met. Marta Ortega’s total remuneration as chair would rise by roughly 20 % to €1.2 million. The variable component will be linked to performance, with the target moving from 120 % to 150 % of the fixed salary and 30 % of the annual bonus to be paid in Inditex shares held for two years. The board also proposed a €1.75 dividend per share and ratified Ernst & Young as auditor for 2026.
