ISA Energia launches R$1.2 billion share offering at R$27 per share

ISA Energia Brazil S.A. announced that its board approved a primary share offering of approximately 44.4 million preferred shares priced at R$27 each, representing a 5.3% discount to the previous closing price. The offering aims to raise about R$1.2 billion, which the company intends to use for payments to Axia Energia in an asset de‑consolidation transaction and to accelerate investments in transmission‑grid reinforcement and improvement projects.

The operation is coordinated by BTG Pactual together with Bank of America, Bradesco BBI and Itaú BBA. Subscription, limited to professional investors with priority for existing shareholders, is set to begin on 15 July, with trading expected on 27 July. The raise is conditional on approval of a new capital limit at an extraordinary shareholders’ meeting on 24 July; if not approved, the offer will be cancelled.
