Tata Trusts challenges N. Chandrasekaran's reappointment as Tata Sons Chairman

A major leadership dispute has erupted within the Tata Group between Tata Sons and its majority shareholder, Tata Trusts. The conflict centers on a September 17, 2026, board decision to reappoint N. Chandrasekaran as Executive Chairman of Tata Sons for an additional five-year term.

Tata Trusts, led by Chairman Noel Tata, has declared the reappointment legally invalid and “void ab initio.” The Trusts argue that the company’s Articles of Association require affirmative support from a majority of directors nominated by the Trusts. Since one of the two nominee directors voted against the resolution, the Trusts contend the mandatory condition was not met. They further assert that the Chairman’s casting vote cannot be used to override this specific requirement.

The rift also extends to the future of Tata Sons, with the board initiating steps toward a potential public listing to comply with Reserve Bank of India regulations. Tata Trusts has expressed opposition to this move, preferring to examine other options.

As the dispute escalates, Tata Trusts is considering seeking judicial intervention through the National Company Law Tribunal (NCLT) or the Bombay High Court to maintain the status quo. Meanwhile, the uncertainty has placed pressure on various Tata Group stocks.
