Noel Tata also noted that the decision to pursue a listing contradicts previous unanimous resolutions from the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust, which requested the company remain unlisted. As an alternative to the mandatory listing, the Shapoorji Pallonji (SP) Group has proposed a liquidity deal to sell up to 3% of its stake for approximately Rs 25,000 crore. However, Tata Trusts has countered with a proposal to buy back the SP Group’s 18.37% stake through a selective capital reduction process via the National Company Law Tribunal, aiming to provide the SP Group at least Rs 25,000 crore over 18 months. The boardroom conflict has triggered significant market volatility.
