Noel Tata challenges N Chandrasekaran’s reappointment at Tata Sons

Noel Tata, Chairman of Tata Trusts, has formally challenged the validity of a board resolution to reappoint N Chandrasekaran as Executive Chairman of Tata Sons for a five-year term starting February 21, 2027.

In a letter to Tata Sons Company Secretary Suprakash Mukhopadhyay, Noel Tata alleged significant procedural lapses during the September 17 board meeting. He contended that the reappointment was not explicitly listed on the original or revised meeting agendas, which instead described the relevant item as a debriefing from the Nomination and Remuneration Committee. He further argued that the company failed to constitute a selection committee as required by the Articles of Association and did not obtain the necessary affirmative votes from directors appointed under specific articles.

Noel Tata also raised concerns regarding potential conflicts of interest, specifically questioning whether commercial relationships involving Hanno One Warehousing—a company where Chandrasekaran’s wife and son serve as directors—were properly disclosed. Additionally, he questioned the role of Venu Srinivasan, a Tata Sons director, in the deliberations.

To resolve the dispute, Noel Tata has demanded the provision of original audio-video recordings, meeting transcripts, final minutes, individual voting records, and an audit trail of changes made to board papers within seven days.
