Nuvei to buy Payoneer for $2.75 billion cash deal

Canadian payments firm Nuvei announced an all‑cash acquisition of New‑York‑based Payoneer valued at roughly $2.75 billion, paying $7.40 per share – a premium of about 44% to Payoneer’s recent closing price. The transaction, approved by both boards, will close in mid‑2027 subject to shareholder and multi‑jurisdiction regulatory approvals.

The combined company will serve more than 2.4 million customers across over 190 countries, process more than $500 billion in annual payment volume and generate around $3 billion in yearly revenue. Nuvei highlighted the deal’s ability to offer a unified platform for payment acceptance, cross‑border payouts, card issuance, treasury and FX services, including stable‑coin transactions. Payoneer’s regulatory licences in China and its cross‑border aggregator status in India will augment Nuvei’s footprint. Financing is being provided by BMO Capital Markets, RBC Capital Markets, Barclays, UBS, Wells Fargo and others. Phil Fayer, Nuvei’s chairman and CEO, called the acquisition a defining step toward building a global financial infrastructure platform.
