Ohmnia files 244.5 million euro tender offer for Azkoyen

The Basque technological-industrial group Ohmnia has formally registered a request with the CNMV to launch a tender offer (OPA) for all shares of the Navarrese multinational Azkoyen. The offer is valued at 244.5 million euros, set at a price of 10 euros per share.

Ohmnia is a consortium led by José Antonio Jainaga and includes several key entities: Carmen Lequerica Holding, the Basque Institute of Finance (IVF), the Vital Banking Foundation, the BBK Foundation, and Indar Kartera, an investment vehicle of Kutxabank. The transaction is intended to be a friendly takeover, a status previously confirmed by Azkoyen’s board of directors.

The acquisition will be financed through a capital increase in Ohmnia, supported by current and new partners, alongside bank financing committed by CaixaBank and Banco Sabadell. If successful, the merger aims to create a group with approximately 400 million euros in turnover, 65 million euros in EBITDA, and 2,000 employees, serving as a platform for consolidating technological and industrial companies in Europe.
