Oura postpones Nasdaq IPO amid market uncertainty

Smart ring manufacturer Oura has postponed its planned Nasdaq initial public offering (IPO), which was valued at up to $2.2 billion. The decision came just eight days after the company launched its roadshow for 50 million shares. While Oura cited market uncertainty and fluctuating investor interest, filings reveal a unique financial structure regarding the listing.

According to Oura’s S-1/A filing, nearly 98.8% of the net proceeds from the IPO were earmarked to cover tax withholding for employee restricted stock units (RSUs) that would vest upon the listing. At a $42 midpoint, the company would have netted approximately $532.6 million, but would have immediately spent $526.4 million on these tax obligations, leaving only $6.2 million for business operations. By postponing the IPO, the company effectively cancels the immediate tax bill.

Despite the delay, Oura reported strong growth, including significant revenue increases and a doubling of its membership base. However, the postponement adds to a sluggish autumn IPO season influenced by interest rate changes and geopolitical tensions.
