Paramount considers CNN sale to resolve Warner Bros. Discovery antitrust lawsuit

Paramount is considering the sale of CNN as a potential remedy to resolve an antitrust lawsuit filed by 12 states, including California, which seeks to block its $110 billion acquisition of Warner Bros. Discovery. Paramount Chief Legal Officer Makan Delrahim indicated that all options remain on the table to facilitate the merger. However, California Attorney General Rob Bonta has dismissed the potential divestiture of CNN as an insufficient solution to the competition concerns raised by the lawsuit.

The legal battle has significant financial implications. Paramount faces a $7 million daily fee payable to Warner Bros. Discovery shareholders if the deal is not finalized by October 1. In response to the litigation, Paramount CEO David Ellison has threatened to relocate company operations out of California if a settlement is not reached by that deadline.

Amidst the legal uncertainty, Warner Bros. Discovery CEO David Zaslav has sold approximately $21.7 million in company stock under a pre-arranged trading plan. The antitrust trial for the merger is currently scheduled for March 2027, though Paramount is actively seeking a settlement to avoid the trial and the accruing daily fees.
