Paramount Skydance settles antitrust suit to proceed with Warner Bros. merger FAST-MOVING
Paramount Skydance has reached a settlement with a coalition of 12 U.S. states, led by California Attorney General Rob Bonta, and the Writers Guild of America. The agreement resolves an antitrust lawsuit that was blocking Paramount’s $111 billion acquisition of Warner Bros. Discovery.
As part of the settlement, Paramount has committed to several regulatory concessions to protect competition and domestic industry. The company will invest an additional $1.5 billion in U.S. film production over the next five years, averaging $300 million annually. It also agreed to a specific theatrical release schedule, producing 30 films per year for the first two years and 32 films per year for the following three years. Failure to meet these quotas may result in a $30 million penalty per film.
To address concerns regarding media influence, the deal mandates the creation of independent editorial boards for CBS News and CNN to ensure journalistic integrity. Additionally, the settlement includes provisions to protect Pluto TV as a free streaming option and requires the company to maintain certain production standards in California. The merger is expected to close by early October, pending final judicial approval.
