Paramount Skydance merger with Warner Bros. Discovery faces US legal challenge
The proposed $110 billion acquisition of Warner Bros. Discovery by Paramount Skydance is facing significant regulatory scrutiny in different jurisdictions. In the United States, a coalition of 12 states led by California has filed a federal antitrust lawsuit under the Clayton Act to block the merger. The plaintiffs argue the deal would consolidate roughly 27% of the theatrical distribution market and 30% of top-grossing blockbusters, potentially reducing content diversity and increasing consumer prices.
In the United Kingdom, the government has cleared the takeover following legally binding commitments to protect media plurality and editorial independence. Culture Secretary Lisa Nandy confirmed that Paramount Skydance must maintain the distinct identities of its broadcasting and streaming services. Specific safeguards include keeping Nickelodeon and Cartoon Network editorially separate, ensuring Channel 5 News remains independent from CBS News and CNN International, and maintaining Channel 5’s public service broadcasting role. Most commitments will last for five years, while Channel 5’s protections will remain in effect until its current license expires in December 2034.
