Paramount Skydance seeks $1.88 billion bond over merger delay

Paramount Skydance has filed a federal motion requesting that 12 state attorneys general and the Writers Guild of America (WGA) post a $1.88 billion bond. The company argues this bond is necessary to cover mounting financial losses caused by the legal challenges blocking its $110 billion acquisition of Warner Bros. Discovery.

Central to the request is a 'ticking fee' provision in the merger agreement. Paramount must pay Warner Bros. Discovery shareholders approximately $7 million per day if the deal is not finalized by October 1, 2026. Paramount estimates that by the time the antitrust trial concludes in March 2027, it will have incurred roughly $1.3 billion in unrecoverable ticking fees, plus an additional $190 million in financing costs.

The lawsuit, led by California Attorney General Rob Bonta, alleges the merger violates the Clayton Antitrust Act by reducing competition in the entertainment and streaming markets. While the merger has received regulatory approval in 68 other jurisdictions, including the European Union and the UK, the domestic legal battle remains a significant obstacle. California officials have dismissed the bond demand as an attempt at 'blackmail' and 'desperation.'
