Paramount‑Warner merger trial set for March 2027

U.S. District Judge Araceli Martínez‑Olguín scheduled a 12‑day antitrust trial for the Paramount Skydance‑Warner Bros. Discovery merger to run from March 2 to March 19 2027 in Oakland. The deal, valued at roughly $111 billion, has been placed on hold while a coalition of 12 state attorneys general and the Writers Guild of America pursue a lawsuit to block it. Under the merger agreement, Paramount must begin paying Warner shareholders a “ticking fee” of $7 million per day starting October 1 2026 if the transaction remains unclosed, a charge that could top $1 billion by the time the trial begins. The company also pledged an additional $650 million per quarter if the deal is not completed by the end of September 2026. The parties have a final deadline of early June 2027 to close the transaction, after which Warner can terminate the agreement and collect a $7 billion breakup fee. While the United Kingdom Competition and Markets Authority has cleared the merger, the U.S. trial creates significant financial and regulatory uncertainty for the combined entity.
