Paramount‑Warner Bros. Discovery merger faces multistate antitrust challenge

Paramount Global and Warner Bros. Discovery have agreed to an approximately $111 billion acquisition, the largest media deal in recent years. A coalition of twelve U.S. state attorneys general, led by California’s Rob Bonta and joined by New York, Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, Oregon and Washington, filed a lawsuit alleging the transaction violates the Clayton Antitrust Act. The complaint says the combined company would dominate theatrical film distribution, blockbuster releases and basic‑cable programming, potentially raising prices and reducing content choices for consumers.

The lawsuit seeks a temporary restraining order (TRO) to pause the merger while the antitrust case proceeds. U.S. District Judge Araceli Martínez‑Olguín has set a deadline of July 22 to rule on the TRO request. The Department of Justice approved the deal in June, but the multistate challenge introduces uncertainty about the September closing timeline. Separate actions include a Writers Guild of America suit and claims that a spin‑off of CNN would not satisfy the plaintiffs’ demands for structural remedies.

The European Commission is still reviewing the deal under EU competition rules, and the parties remain under pressure as the legal battle intensifies.
